Ensure compliance with the Companies Act, 2013 and applicable rules.
Conduct and manage Board Meetings, Committee Meetings, AGM/EGM.
Prepare agendas, notices, minutes and resolutions.
Handle ROC/MCA filings, including annual filings and event-based compliances.
Maintain statutory registers, records and secretarial documentation.
Coordinate with Directors, auditors and senior management.
Support fund-raising, borrowing, guarantees, securities, due diligence and transaction documentation.
Coordinate with statutory auditors, internal auditors, legal advisors, consultants and senior management on secretarial and legal matters.
Draft, review and coordinate commercial contracts, MoUs, NDAs, vendor/customer agreements, JV agreements and other legal documents.
Coordinate with banks, lenders and financial institutions for charge creation, modification, satisfaction and related corporate approvals.
