Corporate Associate — M&A and Private Equity
Our client seeks a Corporate Associate with 2–8 years of experience in mergers and acquisitions and private equity transactions. The ideal candidate will have substantial experience advising control-oriented private equity sponsors and their portfolio companies across a range of transactional matters.
Responsibilities
- Advise on platform acquisitions, add-on investments, dispositions, joint ventures, and minority investments.
- Manage multiple workstreams in complex transactions, from structuring and due diligence through deal execution.
- Draft and negotiate purchase agreements, investment agreements, and related transaction documents.
- Coordinate diligence and transaction execution with clients, opposing counsel, and deal teams.
- Provide practical, business-oriented advice on transactional issues.
Qualifications
- At least two years of corporate experience at an Am Law 100 firm representing private equity sponsors.
- Experience handling M&A and private equity transactions for sponsors and their portfolio companies.
- Strong drafting and negotiation skills.
- Excellent analytical and written communication abilities.
- A practical, commercially focused approach to problem-solving.
