NEW In-House: Associate Corporate Counsel (3+ yrs)

About the Position:

Our client, a well-funded global nonprofit organization headquartered in a northern suburb of Chicago, is actively seeking an attorney with 3+ years of large law firm corporate/transactional experience to join its dynamic and growing legal team as an Associate Corporate Counsel. The lawyer in this position will work closely alongside other members of the legal team and will have broad and varied responsibilities, including drafting and negotiating complex commercial contracts and agreements, assisting with corporate governance and policy development, and playing a role in supporting the organization’s continued growth.

Responsibilities:

• Draft, review and negotiate a variety of commercial agreements and contracts

• Assist with corporate governance activities, including preparing board materials, maintaining corporate records, and supporting compliance requirements

• Support the development, review and maintenance of organizational policies, procedures and governance documentation

• Collaborate with business partners to gather information and support legal review of projects, initiatives, and operational activities

• Conduct legal research and analysis on issues impacting the organization

• Identify potential legal and compliance risks and escalate complex issues to senior legal counsel as appropriate

• Monitor legal and regulatory developments and help communicate relevant changes to internal stakeholders

• Participate in special projects and cross-functional initiatives

• Work with outside counsel and internal subject matter experts to support various legal matters

• Contribute to and/or lead other department specific and cross-functional initiatives

Required Qualifications:

• 3+ years of large law firm corporate experience

• Experience handling transactional and corporate governance matters

• Background at a nonprofit, academic, or research organization is a plus

Location:

Northern Chicago suburb, Illinois (Hybrid); Local/Illinois candidates only.

Compensation:

The anticipated base salary range for this position is $160,000 – $180,000, plus bonus.
