Senior Company Secretary / Head – Company Secretarial

We are looking for an experienced Senior Company Secretary with 15–25 years of overall experience , preferably with significant exposure to a listed company in the hospitality/hotel industry .

The candidate will be responsible for managing the complete secretarial, governance, regulatory and compliance framework of the organization and will work closely with the Board of Directors, senior management, shareholders, regulators and other stakeholders.

Key Responsibilities

• Manage all listed company compliances under the Companies Act, 2013, SEBI regulations, LODR and applicable stock exchange requirements.
• Handle complete Board and Committee processes , including preparation of agendas, notices, minutes and Board documentation.
• Coordinate and manage Board Meetings, Committee Meetings, AGM/EGM and related statutory requirements.
• Ensure timely filing of all necessary forms and returns with MCA, ROC, SEBI, Stock Exchanges and other regulatory authorities .
• Manage shareholder and investor-related matters , including grievances and correspondence.
• Liaise with Stock Exchanges, SEBI, MCA, ROC, RTA, auditors and legal advisors .
• Ensure compliance with SEBI LODR, Insider Trading Regulations, PIT Regulations and other applicable securities laws .
• Manage statutory registers, records and corporate documentation.
• Advise the Board and senior management on corporate governance and regulatory matters .
• Handle disclosures relating to material events, corporate actions and stock exchange filings .
• Oversee compliance related to mergers, acquisitions, restructuring, demergers, fund raising and other corporate transactions , wherever applicable.
• Coordinate with legal, finance, HR and business teams on corporate and regulatory matters.
• Ensure timely implementation of changes in applicable laws, regulations and regulatory circulars.
• Manage and mentor the secretarial/legal compliance team.
• Provide strategic guidance to senior management on corporate governance and secretarial matters .
