Bridge Capital is seeking a Senior Legal Manager, Fund & Transaction, to lead legal workstreams across complex cross-border investments — from initial structuring and diligence through signing, closing, active ownership and realization. Embedded alongside investment professionals, the role converts commercial objectives into executable legal structures, negotiates principal transaction documents, protects governance and economic rights, and provides clear, decision-oriented advice on material legal and execution risk.
Key Responsibilities Lead legal execution across acquisitions, disposals, joint ventures, co-investments, minority investments, platform builds, add-ons, restructurings, recapitalizations, refinancings and exits Partner with investment, finance, tax and technical teams to define legal workplans and align diligence with the investment thesis Design and evaluate fund, holding-company, SPV, acquisition, financing and co-investment structures across jurisdictions Lead legal due diligence and translate findings into price, conditions, covenants, indemnities, warranties and other transaction protections Protect governance and economic position through reserved matters, Board rights, transfer restrictions, minority protections and exit provisions Support portfolio legal matters including add-ons, reorganizations, management equity, related-party transactions and exit readiness Manage cross-border regulatory, foreign-investment, merger-control, sanctions and financial-crime issues with internal specialists and local counsel Develop transaction playbooks, precedent documents, negotiation positions and closing checklists to improve execution speed and consistency Provide day-to-day leadership and technical guidance to legal team members Experience and Skills 6–8+ years of progressive legal experience in private equity, M&A, leveraged finance, fund, infrastructure or principal-investment transactions at a leading law firm, investment firm, investment bank or comparable platform Experience with fund, holding-company, SPV and co-investment structures, governance rights and realization mechanisms strongly preferred Exposure to acquisition financing, security, guarantees, intercreditor arrangements and refinancing transactions advantageous Strong command of transaction structuring, legal due diligence, risk allocation and corporate governance Excellent written, verbal and interpersonal skills, with confidence engaging investment committees, boards and senior external counterparties Demonstrated ability to lead small teams, manage multiple workstreams and develop junior professionals Cross-border experience and cultural fluency strongly preferred; fluency in Arabic, Spanish, French or another relevant language is a plus #J-18808-LjbffrThis listing is sourced from a third-party job board.
