Location:
New York, NY | On-site, 5 days per week. This is a highly collaborative, in-person opportunity for candidates who want to work closely with leadership and cross-functional teams in Manhattan.
Compensation:
$200,000 to $400,000 base salary, plus startup equity and benefits.
Note:
Candidates must have 6+ years of legal experience, 3+ years of commercial transactions experience, active admission to a U.S. state bar, prior hands-on commercial transactions experience within a high-growth technology startup, and the ability to work on-site in New York City 5 days per week.

Job Description
- Lead commercial contracting from initial draft through negotiation and execution, including MSAs, SaaS agreements, DPAs, order forms, security addenda, and other enterprise agreements.
- Partner closely with sales and business leaders to negotiate sophisticated customer agreements while balancing legal risk with commercial velocity.
- Build the company's legal infrastructure, including contract templates, negotiation playbooks, approval workflows, and scalable legal processes.
- Advise leadership on corporate governance, equity matters, board support, and future financing activities.
- Support privacy, security, and regulatory matters involving frameworks such as GDPR, CCPA, and SOC 2.
- Provide practical legal guidance on employment, vendor, procurement, and operational matters.
- Coordinate outside counsel across specialized areas such as intellectual property, litigation, and expansion.
- Identify emerging legal and regulatory risks and translate them into practical recommendations for business leaders.
Qualifications
- J.D. and active admission to a U.S. state bar.
- 6+ years of legal experience.
- 3+ years of directly relevant commercial transactions experience.
- Prior commercial transactions experience at a high-growth technology startup required.
- Strong experience negotiating enterprise software, SaaS, or technology agreements.
- Experience with MSAs, DPAs, SaaS terms, security addenda, and related commercial contracts.
- Ability to operate independently as a broad legal generalist in a fast-moving environment.
- Strong business judgment and ability to balance legal risk with business objectives.
- Excellent written, verbal, and stakeholder communication skills.
- Experience with data privacy, security, B2B SaaS, enterprise software, AI, venture financings, or legal operations preferred.
- New York bar admission preferred.
